1.ACCEPTANCE OF TERMS

By accessing or using the Services (defined below), you agree to be bound by the terms and conditions of this Agreement.  The following terms and conditions, together with any documents they expressly incorporate by reference govern your access to and use of https://www.mypartnerlab.co/ and https://community.mypartnerlab.co/ including any content, functionality, and services offered on or through, and any other media form, media channel, mobile application linked, or otherwise connected to https://www.mypartnerlab.co/ and https://community.mypartnerlab.co/ (collectively, the "Services"). 

If you disagree with any part of the Agreement, you may not access or use the Services.  We reserve the right to make changes or modifications to these Terms of Use from time to time.  Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time you access these Services so you are aware of any changes, as they are binding on you.

2. DISCLAIMER

The Services are provided for educational and informational purposes only and is not intended to be a substitute for professional advice, diagnosis, or treatment. You should always seek the advice of your qualified healthcare professional, licensed therapist, or attorney with any questions you may have regarding your situation.

3. HEART BALM DISCLAIMER 

The Services are designed to assist you in self-reflection and evaluation of your relationship. It is not intended to provide any form of marital or couples' counseling. The Services do not make any claims regarding the success of your relationship or guarantee a specific outcome. We are not liable for any emotional distress or relationship difficulties that may arise from your use of the Services.

4. USER REGISTRATION AND ACCOUNT SECURITY 

You are solely responsible for your interactions with other users of the Services. You agree to treat other users with respect and avoid any harassing, discriminatory, or offensive behavior.  Failure to do so constitutes a breach of the Terms of Use, which will result in immediate termination of your account.  You represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete at all times.

  • You agree to keep your password confidential and will not disclose your password to any third party.

  • You will not use the Services for any illegal or unauthorized purpose; and your use of the Services will not violate any applicable law or regulation.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Services or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.  We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

5. USE OF THE SERVICES 

You agree to use the Services in a lawful manner and in accordance with this Agreement. You will not use the Services for any purpose that is prohibited by law or regulation.  To access the Services or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Services that all the information you provide is correct, current, and complete. You agree that all information you provide to register with this website or otherwise, including, but not limited to, through the use of any interactive features on the Services, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

6. PROHIBITED ACTIVITIES   

You may use the Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services:

  • To retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database or directory without express written permission from us.

  • To use the Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law.

  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

  • To copy (subject to Section 8 listed below), modify, or create derivative works of the Services or any Content, in whole or in part.

  • To reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Services, in whole or in part.

  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.

  • To impersonate or attempt to impersonate Partner Lab, its employees, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).

  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Partner Lab or users of the Services, or expose them to liability.

  • To circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying any of the Content or the Marks.

  • Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services, including their ability to engage in real time activities through the Services.

  • To rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or your profile.

  • To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • To engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

7. USER CONTRIBUTIONS 

All user feedback, posts, forums, bulletin boards, content, materials, data, and information provided by you (“User Contribution”) must comply with the Content Standards and User Conduct set forth in these Terms of Use. 

Any User Contribution you post to the website will be considered non-confidential and non-proprietary. By providing any User Contribution on the Services, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

  • The creation, distribution, display, or performance, and all downloads, copies and access to your User Contributions do not and will not infringe the proprietary intellectual property rights of any third party.

  • You have the written consent, release, and/or permission of each and every individual in your User Contributions in any manner contemplated by the Services and these Terms of Use.

  • Your User Contributions are not false, inaccurate, or misleading.

  • All of your User Contributions do and will comply with these Terms of Use.

8. CONTENT STANDARDS

These content standards apply to any and all User Contributions and use of the Services.  User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.

  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.  

  • Be likely to deceive any person.

  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.

  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.

  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization.

  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.

  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

9. MONITORING AND ENFORCEMENT; DISCLAIMER OF LIABILITY

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.

  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for Partner Lab.

  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.

  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services. 

  • Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services. YOU WAIVE, DEFEND AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review all material before it is posted on the Services and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

10. INTELLECTUAL PROPERTY RIGHTS  

The Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, images, and graphics and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Partner Lab,  its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Services and its entire contents, features, and functionality (including but not limited to all data, information, resources, tools, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) (collectively, “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned by Partner Lab, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  All Content and Marks are provided “AS IS” for your information and personal non-commercial use only.  Except as expressly provided in these Terms of Use, you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content or Marks on our website without our express written permission.  While we strive to provide accurate and up-to-date information, the Content is not guaranteed to be complete, accurate, or up-to-date. You rely on the Content at your own risk.

Provided that you are eligible to use the Services, Partner Lab grants you a limited non-exclusive, non-exclusive, nonsublicensable, non-transferable license to access and use the Services and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.  We reserve all rights not expressly granted to you in and to the Services, the Content and the Marks.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of the Terms of Use, your right to use the Services will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Services or any Content on the Services is transferred to you, and all rights not expressly granted are reserved by the Company.  Any use of the Services not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

11. THIRD PARTY WEBSITE AND CONTENT 

If the Services contain links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to these Services, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.  You agree to hold us harmless for any harm or losses sustained by you relating to or resulting from any third-party content or links to other sites.

12. DISCLAIMER OF WARRANTIES  

YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.  NEITHER PARTNER LAB NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.  WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE OR THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL MEET YOUR NEEDS OR EXPECTATIONS. 

TO THE FULLEST EXTENT PROVIDED BY LAW, PARTNER LAB HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. LIMITATION OF LIABILITY

IN NO EVENT WILL PARTNER LAB, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. DMCA NOTICE AND COPYRIGHT POLICY 

Partner Lab is against copyright infringement of any kind, and we terminate the user accounts of repeat copyright infringers. If you believe that any material on the Services infringes your copyright, please send a notice of copyright infringement to hello@mypartnerlab.co.  Upon receipt of any notice, Partner Lab will take whatever action, in its sole discretion, including removing the content from its website.  

15. PRIVACY POLICY  

All information we collect on through the Services is subject to our Privacy Policy. By using the Services, you consent to all actions taken by us with respect to your information and agree to be bound by our Privacy Policy, which is incorporated into these Terms of Use.  The Services are hosted in the United States and we make no claim that the Services or any of its content is accessible or appropriate outside of the United States.  If you access the Services from outside the United States with laws or regulations governing personal data collection, use or disclosure that differ from applicable laws in the United States, you are transferring your data to the United States and you agree to have your data transferred to and processed in the United States.

16. TERMINATION  

These Terms of Use will remain in full force and effect while you use the Services.   We may terminate your access to the Services at any time, for any reason, without notice.  If we suspend or terminate your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.  In addition, we reserve the right to take appropriate legal action, including without limitation all civil, criminal, and injunctive relief.

17. INDEMNIFICATION  

You agree to defend, indemnify, and hold harmless Partner Lab, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Services, including, but not limited to, your User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Services. 

18. GOVERNING LAW 

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.  Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Utah, in each case located in Cache County, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.  Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use.

19. ARBITRATION  

At Partner Lab's sole discretion, it may require you to submit any disputes arising from these Terms of Use or use of the Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association applying Utah law.

In no event shall any dispute brought by either party related in any way to the Services be commenced more than one (1) year after the cause of action arose.

20. ELECTRONIC COMMUNICATIONS, TRANSACTIONS AND SIGNATURES 

Sending us emails, visiting our website, and completing online forms constitute electronic communications.  You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email or on the website, satisfy any legal requirement that such communication be in writing.  

21. MISCELLANEOUS 

These Terms of Use and our Privacy Policy, including any policies or operating rules posted by us on our website constitute the entire agreement (collectively, the “Agreement”) and understanding between you and us.  No waiver by us of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and our failure to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.  If any provision of these Terms of Use is found to be invalid or unenforceable, then the remainder of this Agreement will have full force and effect and the invalid provision will be modified, or partially enforced, to the maximum extent permitted to effectuate the original objective.  We may assign any or all of our rights and obligations to others at any time.  The section headings contained in this Agreement are for reference purposes only and will not affect in any way the meaning or interpretation of these Terms of Use.  You agree that these Terms of Use will not be construed against us by virtue of having drafted them.  You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.
